End User License Agreement - Internal Applications

This End User License Agreement ("Agreement") governs your use of internal software applications operated by Nordik Data Canada Ltd. By accessing or using any internal application, you agree to be bound by the terms of this Agreement. If you do not agree, you must not use these applications.

1. Definitions

For the purposes of this Agreement:

  • "Company" means Nordik Data Canada Ltd. and its subsidiaries and affiliates.

  • "Application" means any internal software tool, system, platform, or digital service made available by the Company for use by authorized personnel, including integrations, data pipelines, and administrative interfaces.

  • "User" means any employee, contractor, or consultant who has been granted access to an Application by the Company.

  • "Company Data" means any data, records, or information processed, stored, or transmitted through an Application.

  • "Authorized Purpose" means the specific internal business function for which a User has been granted access.

2. Grant of License

Nordik Data Canada Ltd. grants each User a limited, non-exclusive, non-transferable, revocable license to access and use the Applications solely for Authorized Purposes during the term of the User's engagement with the Company. This license does not grant any right to use the Applications for personal, commercial, or third-party purposes, or to share access credentials with any other person.

3. Restrictions

Users must not:

  • Copy, modify, reverse-engineer, decompile, or create derivative works of any Application

  • Remove or alter any proprietary notices within any Application

  • Use any Application in violation of applicable law or regulation

  • Attempt to circumvent or disable any security features or access controls

  • Introduce malicious software or unauthorized scripts into any Application

  • Use any Application outside the scope of their employment or engagement with the Company

4. Intellectual Property

All Applications, including their underlying software, source code, design, and documentation, are and remain the exclusive property of Nordik Data Canada Ltd. or its licensors. This Agreement does not convey any ownership interest to any User. Any work product developed by a User in connection with an Application in the course of their duties shall vest in Nordik Data Canada Ltd. upon creation.

5. Data and Confidentiality

Users acknowledge that Company Data accessed through the Applications is confidential. Users agree to:

  • Access only the data necessary for their Authorized Purpose

  • Maintain the confidentiality of all Company Data

  • Not export or transmit Company Data to unauthorized systems, personal devices, or external parties without express written authorization

  • Promptly report any suspected data breach or security incident to info@nordikdata.ca

The Applications may log usage data and access records for security and compliance purposes. Users have no expectation of privacy with respect to their use of Company systems.

6. No Warranties

The Applications are provided on an "as is" and "as available" basis for internal operational use. Nordik Data Canada Ltd. makes no warranties regarding fitness for a particular purpose, accuracy of outputs, or uninterrupted operation. Users are responsible for verifying the accuracy of any output before relying on it for business decisions.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Nordik Data Canada Ltd. shall not be liable for any indirect, incidental, or consequential damages arising from a User's access to or use of any Application, including damages arising from data loss, system downtime, or errors in outputs.

8. Termination

Nordik Data Canada Ltd. may suspend or terminate a User's access to any Application at any time, including upon termination of the User's employment or engagement, breach of this Agreement, or decommissioning of an Application. Upon termination, the User must immediately cease all use and return or destroy any Company Data in their possession.

9. Acceptable Use

Use of the Applications is subject to Nordik Data Canada Ltd.'s internal policies, as amended from time to time. Users are responsible for maintaining the security of their access credentials and must not share passwords or authentication tokens with any other individual.

10. Governing Law

This Agreement is governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein. Any disputes arising under this Agreement are subject to the exclusive jurisdiction of the courts of Nova Scotia.

11. Amendments

Nordik Data Canada Ltd. reserves the right to amend this Agreement at any time. Continued use of any Application following notice of an update constitutes acceptance of the revised terms.
